1. Acceptance of terms
By accessing or using the Deepstack Neural platform (the 'Service'), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.
2. Accounts
You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access.
3. Acceptable use
You agree not to use the Service to violate any law, infringe intellectual property, transmit malware, perform unauthorized testing, or generate content that is illegal, harmful, or deceptive. We may suspend or terminate accounts that violate these rules.
4. Customer content
You retain ownership of content you submit. You grant us a limited license to process that content solely to operate and improve the Service. We do not use customer prompts or completions to train foundation models.
5. Fees and billing
Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with prior notice for the next billing cycle.
6. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and force majeure events may cause downtime. SLAs, where applicable, are defined in your order form.
7. Intellectual property
The Service, including all software, documentation, and trademarks, is owned by Deepstack Neural and protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.
8. Disclaimer of warranties
The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Deepstack Neural's aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. Sections that by their nature should survive termination will survive.
11. Governing law
These Terms are governed by the laws of the State of California, excluding its conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in San Francisco, California.
